These terms form a legally binding agreement between Users (“User(s)”, “you”, “your”, “customer(s)”, “yourself”) and Staynomix Technologies and its affiliates (“Staynomix”, “we”, "us", “our”). These terms shall govern the use of the website, mobile application, call centers, and digital interfaces (collectively referred to as the “Staynomix Platform”) which enables the User to connect with us in relation to the services offered through the Staynomix Platform ("Services").
Please review these terms carefully before accessing, using, or obtaining any Services through Staynomix. If you do not accept these Terms of Use, you must discontinue your use of both the Staynomix Platform and its Services.
Staynomix retains the right to amend these Terms of Use at any time at our absolute discretion. You are responsible for periodically reviewing these terms to stay informed of any changes. Your continued use of the Staynomix Platform and our Services following any updates constitutes your formal acceptance of the revised terms.
1. Scope of Services
Staynomix provides a digital marketplace via the Staynomix Platform that allows Users to book short-duration, hourly hotel accommodations across customizable timeframes. These micro-stays are provided by independent, third-party hotel partners (“Partners” / “Accommodation Providers”) in accordance with their contractual agreements with Staynomix.
The core features and Services available to Users on the Platform include, but are not limited to:
- Hourly Hotel Stays: The ability to reserve room inventory dynamically based on a flexible 1-hour interval frequency.
- Flexible Duration Bookings: Empowering customers to choose tailored check-in and check-out times that fit their specific schedules.
- Short-Duration and Same-Day Stays: A streamlined, on-demand reservation workflow optimized for immediate, brief accommodations.
Staynomix functions strictly as an intermediary technology provider and does not own, manage, lease, or operate any of the physical properties listed on the Platform. While customers have the freedom to book a room for any custom number of hours, all reservations are strictly subject to a baseline minimum booking duration of 3 (three) hours for standard flexible bookings, and 4 (four) hours for immediate "Check-in Now" bookings (unless checking in at a time that rounds up to the next hour, in which case a 3-hour minimum stay is allowed).
2. Eligibility to Use
To access or use the Staynomix Platform, you must be at least eighteen (18) years of age or older and possess the full legal capacity to enter into, perform, and adhere to these Terms of Use. Individuals under the age of 18 are strictly prohibited from creating an account or booking accommodations independently; they may only use the Platform under the direct supervision, guidance, and express approval of a parent or legal guardian, utilizing that parent or guardian's registered account.
Staynomix retains the absolute right to unilaterally terminate a User’s access, deactivate the account, and refuse future service without liability if it discovers or has reasonable grounds to believe that the Platform is being operated independently by an individual under the age of 18.
3. Account Registration, Security, and Use
- Staynomix grants access to its Services upon the provisioning of required personal details and the successful creation of a user profile (“Account”). This Account is accessed via a unique Staynomix ID and password or other verified single sign-on credentials (collectively, the “Account Information”).
- Confidentiality Safeguards: You bear sole responsibility for maintaining the strict confidentiality of your Account Information and are fully accountable for all activities, bookings, and financial transactions that occur under your Account. By registering, you explicitly agree to:
- Immediately notify Staynomix of any unauthorized account access, suspected data breach, or compromise of your security credentials.
- Ensure that you completely log out from your Account at the conclusion of each active session.
- Platform Liability: Staynomix explicitly disclaims liability, and shall not be held financially or legally responsible, for any losses, fraudulent bookings, or data exposures resulting from your failure to comply with these baseline security protocols.
- Telecom Changes: If you change your mobile number, surrender your SIM card, lose your physical device, or switch telecom service providers, you remain exclusively responsible for immediately updating your profile details and linking an active, alternate number to secure your account state.
- Accountability for Breaches: You may be held legally and financially liable for damages or losses incurred by Staynomix, its Accommodation Partners, or other platform users due to any authorized or unauthorized use of your account resulting from negligence in safeguarding your login credentials.
- Unregistered individuals are permitted restricted, browse-only access to the Staynomix Platform. At the time of registration, you warrant that all information provided in the sign-up portal is complete, accurate, and current. Utilizing another user's account details without express, documented authorization is strictly prohibited.
4. Staynomix Service Deliverables & Guarantees
Staynomix assumes primary responsibility for facilitating a high-quality accommodation experience for your chosen timeframe. We ensure that the standard of hospitality matches the benchmarks promised across our Platform. To maintain this quality assurance, Staynomix holds contractually enforceable rights to require its partner Accommodation Providers to deliver guest services in strict alignment with platform guidelines.
- Flexible Micro-Stays: Designed around modern, agile travel habits, Staynomix offers an expansive directory of properties with adaptable hourly stay configurations, subject to a baseline 3-hour minimum requirement (or a 4-hour minimum requirement for immediate "Check-in Now" bookings that round check-in down to the current hour).
- Booking Confirmation: Staynomix issues an official digital booking confirmation upon successful reservation. This is sent directly via WhatsApp and email, and can be accessed under the "My Bookings" section of the User's profile dashboard. This confirmation entitles customers to claim and utilize the room services at the partner property under the conditions established online.
- Customer Support Desk: If you navigate the platform and are unable to select a property that fits your schedule, you may contact our dedicated customer support desk. Our team will manually source available accommodations matching your specific budget, timeframe, and amenity preferences.
- Denied Check-In Guarantee: In the exceptional event that a partner property denies check-in for a valid, confirmed voucher, Staynomix will actively intervene to secure alternative accommodations of equivalent rating and standard. If a comparable alternative cannot be provisioned, Staynomix will issue a full refund of any pre-booking fees collected from the User. Staynomix’s financial liability is strictly capped at the total amount paid for the booking.
- Standard Amenities Assurance: Staynomix mandates that every active hotel or lodging partner on the platform continuously maintain a core set of verified hospitality features, including:
- Fully air-conditioned (AC) guest rooms equipped with functional televisions.
- Complimentary, active Wi-Fi connectivity.
- Freshly laundered, spotless linen and bedding.
- Hygienic, deeply sanitized, and fully functional washrooms.
- On-demand or regular housekeeping services.
- A 24/7 manned front reception desk to handle immediate operational requests.
- Support Channels: For real-time issue resolution or grievance mitigation during your stay, you can connect with our centralized escalation network via two primary options:
- Filing a priority ticket on the official Staynomix Support Page.
- Placing a direct call to our 24x7 Centralized Guest Support Helpline.
Staynomix remains operationally connected to your journey from the moment an order is finalized on our network, monitoring your reservation state through every active hour until final checkout.
5. Term and Termination
Users may terminate this agreement at any time by deactivating their account or deleting their profile through the Platform. Staynomix reserves the right to unilaterally suspend or terminate your access to the Platform and its Services immediately, without prior notice or liability, if you breach any provision, payment protocol, or code of conduct outlined in these Terms of Use.
6. Terms Specifically Applicable to Customers
A. Reservation and Booking of Services
- Data Security and Platform Access: The process of booking hourly micro-stays via the Staynomix Platform requires the disclosure of personal, transactional, and confidential data. To prevent unauthorized access to your sensitive information—including names, contact details, and payment credentials—the User shall not access the Staynomix Platform from unsecure computers, unsecure public communication networks, unsecure mobile devices, or public locations such as internet cafes, cyber cafes, and other commercially available shared network configurations. Staynomix disclaims all liability for security compromises arising from a User's end-point negligence.
- Pre-Booking Verification Obligations: The User explicitly agrees, acknowledges, and confirms that prior to finalizing any booking order on the Staynomix Platform, the User assumes the strict obligation to review the service description, room parameters, amenities, dynamic pricing, and chosen hourly intervals carefully. By executing an order for a Service, you agree to be contractually bound by the terms, restrictions, and parameters of that specific listing layout. Orders should only be placed after the User is entirely satisfied with the price, description, duration, and visual look of the accommodation as displayed on the Platform.
- Reliance on User Declarations: Relying on the formal declarations, confirmations, data inputs, and legal obligations undertaken by the User in accordance with these terms—and believing the same to be entirely true and acting on the faith thereof—Staynomix extends its marketplace Services to the User. In particular, the User hereby covenants, promises, declares, represents, and warrants to Staynomix that:
- The User is under no legal disability, age restriction, or other regulatory deficiency which prevents or may prevent them from entering into a valid, contractually binding agreement under applicable national laws, and is fully authorized to execute valid payments for the Services ordered.
- In the event that our monitoring frameworks detect high-risk, suspicious, or irregular activity stemming from the User’s account, Staynomix reserves the absolute right to unilaterally cancel all pending, active, and future bookings without prior notice and without any liability or refund obligation to the User.
- For credit card, debit card, or unified digital wallet transactions, the User must utilize an instrument over which they possess lawful ownership, full transactional rights, and proper financial authority. Staynomix shall not be held liable for third-party payment or credit card fraud. The legal and financial liability to use a payment card or account fraudulently rests entirely upon the User, and the onus to establish otherwise remains exclusively with the User.
- While utilizing the Staynomix Platform, the User shall at all times strictly and completely comply with the designated payment procedures, split-allocation workflows, and platform terms detailed herein in their entirety.
- The final utilization of the reserved hourly Services shall be deemed conclusive proof that the User is entirely satisfied with the technical description, design, look, accommodation standard, and hourly usage fee as displayed on the Platform. All Services are provisioned solely at the absolute operational discretion of Staynomix.
B. Payment, Usage Fee, and Split-Allocation
- Reservation Validation and Fees: The User hereby agrees and understands that to secure a confirmed room reservation, they must pay the dynamic usage fee as displayed on the Staynomix Platform via the verified payment modes provided at checkout. Once the system registers a confirmed status, Staynomix will debit the corresponding upfront usage fee components from the payment mode selected by the User. The User acknowledges that this verification procedure may require supplementary identification confirmation or regulatory check data, which the User undertakes to provide completely, accurately, and properly.
- Third-Party Processor Disclaimers: Staynomix integrates with compliant, certified third-party payment gateway networks and banking infrastructure providers to process digital transactions. Staynomix is not responsible or legally liable for structural processing delays, erroneous settlement executions, network time-outs, or the systematic cancellation of reservations due to backend gateway failures. While Staynomix takes utmost care to partner with secure payment providers, it exercises no ownership or control over their hardware systems, operational tech stacks, or corporate software workflows; consequently, Staynomix cannot be held accountable for transactional faults at the payment provider's end.
- Settlement Allocation: Users executing online payments for micro-stay services provided via the Staynomix Platform acknowledge that their funds are processed, allocated, and distributed to platform or property operational clearing profiles as mapped out under the designated Payment for Services matrix guidelines.
C. Responsibility for Valuables and Personal Belongings
- Absolute Custodial Waiver: Users are requested to take diligent care of, monitor, and safeguard all of their personal effects, luggage, electronics, and valuables throughout the duration of their micro-stay. Staynomix, its corporate entity, and its operational staff explicitly assume no bailee liability or custodial responsibility.
- Loss and Theft Disclaimer: Staynomix and its personnel shall NOT be held financially, operationally, or legally responsible for any loss, theft, malicious damage, or unexplained disappearance of a Guest's personal valuables and belongings on or around the partner accommodation's premises.
D. Guest Identity Verification Framework
- Digital Validation Limits: The User acknowledges that individual verification across digital communication networks carries inherent technical limitations, and Staynomix does not assume absolute contractual responsibility for the continuous identity validation of platform participants.
- Regulatory Safety and Screening Rights: For transparency, data integrity, regional safety, and fraud prevention purposes, and in strict compliance with applicable local and national security statutes, Staynomix and its Accommodation Partners reserve the baseline right (but assume no mandatory ongoing contractual obligation under this text) to:
- (i) Request checking-in Guests to produce original, valid, physical government-issued photo identification and address tracking documents at the property front desk as a non-negotiable prerequisite for room admission.
- (ii) Direct and screen Guest names and registration details through compliant third-party identity validation databases or public safety registries.
- (iii) Where legally permitted and where sufficient data parameters exist to positively identify an occupant, obtain official reports from public safety indices or equivalent criminal background registers in the applicable local jurisdiction.
7. Usage Terms and Platform Disclaimers
A. Data Inaccuracies and Right to Cancel
- Limitation of Liability for Errors: The information, software, imagery, and Services published on the Staynomix Platform may inadvertently include typographical inaccuracies, outdated data, or pricing errors. Staynomix is under no legal obligation to honor reservations predicated on flawed platform data, technical glitches, or inaccurate pricing listings.
- Reservation Revocation Rights: Staynomix reserves the absolute right to refuse, modify, or cancel any booking at any time at its sole discretion. This includes, but is not limited to, instances involving:
- Listings containing incorrect pricing models or inaccurate room descriptions.
- Suspected violations of applicable local statutes or these Terms of Use.
- Activities deemed harmful to the operational ecosystem, reputation, or financial integrity of Staynomix.
- Bookings systematically flagged by fraud-detection mechanisms as deceitful, malicious, or built upon false personal information.
B. Absolute Disclaimer of Warranties
- "As-Is" Provision: All software infrastructure, marketplace features, and short-stay Services integrated into the Staynomix Platform are provided strictly on an "as-is" and "as-available" basis without warranties. Staynomix explicitly disclaims all warranties of any kind, whether express, statutory, or implied—including any warranties of title, merchantability, suitability, performance quality, non-infringement, or fitness for a particular purpose.
- Operational Continuity: Staynomix makes no representations or guarantees that:
- The Platform or its hourly booking features will fulfill your exact travel requirements or expectations.
- Platform access will be continuously secure, uninterrupted, timely, error-free, or clear of systemic server lags.
- The data downloaded, transmitted, or obtained from the Platform is entirely clear of technological viruses or harmful code blocks. Any digital content downloaded is accessed purely at the User’s own discretion and risk, and the User assumes exclusive liability for any resultant hardware damages or computational data loss.
C. Access Restrictions and System Maintenance
- Intermittent Service Outages: Due to the distributed nature of the internet, Staynomix cannot guarantee absolute, continuous availability of its digital portals. Staynomix shall not be held liable for delayed transmissions, network timeouts, operational disruptions, or total platform unavailabilities stemming from scheduled system optimizations, capacity stress handling, server security enhancements, or unplanned technical force majeure events outside our direct corporate control.
- Access Prerequisites: Staynomix reserves the right to restrict access to specific features or entire sectors of the Platform based on designated risk parameters, such as completion of guest identity verifications, meeting account eligibility criteria, or evaluating a User's previous booking, cancellation, and transaction history.
D. Multi-User Delegations and Profile Credentials
- Third-Party Authorization Features: Staynomix may deploy system settings that allow a User to authorize explicit third parties or corporate business structures to take designated reservation actions affecting their Staynomix Account (e.g., booking an hourly stay on behalf of an employee).
- Credential Privacy: These business features operate securely through dedicated APIs and do not require, nor justify, the sharing of personal login credentials. Staynomix never authorizes any employee, accommodation manager, or third party to solicit your account password or access tokens. You are strictly prohibited from sharing your login credentials or requesting the security passwords of any other Platform participant.
8. Comprehensive Staynomix Micro-Stay Policy (Duration, Modifications, Cancellations & No-Shows)
This core operational policy establishes the rules for flexible, short-duration reservations on the Staynomix Platform. It balances customer flexibility with inventory security for third-party hotel partners. All financial transactions are calculated exclusive of Goods and Services Tax (GST) unless specified otherwise.
A. Booking Duration Limits
Staynomix removes traditional, rigid check-in barriers by offering fully dynamic, custom arrival and departure times. However, to maintain operational viability for property partners, all reservations are restricted by a strict baseline floor of 3 (three) hours for standard bookings. For immediate "Check-in Now" bookings, a minimum duration of 4 (four) hours is enforced if the booking starts in the current hour (rounded down); however, if checking in at a time that rounds up to the next hour (when the current minute exceeds 45), the minimum duration is 3 (three) hours. The system automatically blocks any reservation attempt or modification that drops below these respective thresholds.
B. Modification Policy
To keep hotel rooms bookable by other travelers while accommodating changing customer schedules, active reservations can be adjusted under a two-tiered fee structure:
- Standard Modifications (>12 Hours Prior): Modifications made more than 12 hours prior to the scheduled check-in time are permitted only once per unique booking reference ID. A modification fee of ₹15.00 (exclusive of applicable taxes) applies.
- Late Extensions & Active Stays (<=12 Hours Prior or Active Stay): Inside the 12-hour pre-arrival window and throughout the active stay (before the scheduled checkout time), the check-in time and date are locked and cannot be modified. However, guests may extend their stay (increase their stay duration) multiple times, subject to room availability. A late extension fee of ₹20.00 (exclusive of applicable taxes) applies to each extension request.
- Extension Mechanics (Duration Increase): When a stay is lengthened, StayNomix instantly calculates the new internal marketplace commission adjustment based on the higher room value:
- Pay Later Bookings: The customer pays the applicable modification fee (₹15.00 or ₹20.00) and the upward commission adjustment online immediately. The remaining baseline room rate difference scales cleanly into the updated Balance at Hotel line item to be paid at the front desk.
- Pay in Full Bookings: The customer settles the modification fee along with the entire gross difference in room price and hotel taxes online during the extension window.
- Reduction Mechanics (Duration Decrease): A customer may shorten their booked hours (permitted only during the standard modification window >12 hours prior, and provided the new duration does not fall below the 3-hour minimum threshold). The financial adjustment is handled based on the payment method:
- Pay Later Bookings: The price reduction will be adjusted against the final cash/card payment due at the hotel desk during check-in (reducing the balance due). However, if the new stay total falls below the advance payment already collected online, the difference is non-refundable.
- Pay in Full Bookings: Because the payment was already fully captured online, the calculated price difference for the reduced hours (excluding the standard modification fee) will be processed as a refund directly back to the customer's original bank account or payment source.
C. Cancellation Policy
Customers can cancel an active reservation through their profile dashboard or the centralized support desk subject to strict timelines:
- The 12-Hour Cancel Cutoff: Cancellations are allowed only up to 12 hours before the scheduled check-in time. The system will automatically reject any cancellation request submitted inside the final 12-hour pre-arrival window.
- Cancellation Charges Formula: Valid cancellations processed outside the 12-hour barrier trigger a structural penalty deduction (comprising the Platform Fee, 5% of Micro-stay Price, and any previous modification/extension fees, all inclusive of applicable GST) to offset platform operational costs and partner inventory block losses:
Cancellation Penalty = (Platform Fee + 5% of Micro-stay Price + Modification Fee if any + Extension Fee if any) + GST
- Refund Distribution:
- For Pay in Full Bookings: The remaining balance of the gross payment, after deducting the absolute Cancellation Penalty (inclusive of GST), is automatically routed back to the user's original payment source within 7 to 14 business days.
- For Pay Later Bookings: The advance amount paid online covers the standard cancellation charges and is non-refundable.
D. No-Show Policy
If a customer does not complete check-in at their scheduled arrival hour, specific automated workflows execute depending on the transactional model chosen:
1. Pay Later Bookings — The 15-Minute Rule
Because the hotel has only collected a partial security deposit, the room inventory cannot be held vacant indefinitely at the expense of other potential guests.
- Inventory Block Limit: The Accommodation Partner holds the room open for a grace period of exactly 15 (fifteen) minutes from the scheduled check-in time.
- Cancellation Trigger: If the guest fails to check in at the desk within the 15-minute grace period, the Accommodation Partner's staff will mark the booking as a "No-Show" in the Admin Panel.
- System Action: Once marked as a No-Show, the booking is cancelled, the room is released back into the live marketplace, and the online advance payment is forfeited in its entirety (No refund is applicable).
2. Pay in Full Bookings — Active Room Block Rule
Because the user has paid for the entire micro-stay upfront, the room is secured for them for the duration of their reservation block.
- Inventory Block Limit: The Accommodation Partner is contractually and legally bound to maintain a dedicated block on that room for the entire duration of the booked hours up until the final scheduled check-out hour.
- Late Arrival Rights: The customer can check in at the desk at any point during their active booking window. No refunds or partial price reductions are provided for hours missed due to a late arrival.
- Complete Expiration: If the guest fails to show up for the entire block of hours, the booking closes at the scheduled checkout time, and the full payment is retained by StayNomix as cancellation charges (no refund is applicable).
9. Prohibited Platform Content and User Activities
A. General Pre-Conditions and Warranty of Use
As an explicit, non-negotiable pre-condition for accessing, browsing, or utilizing the Staynomix Platform and its associated Services, the User warrants, represents, and covenants to Staynomix that they shall not use the technology infrastructure, content, or application ecosystems for any purpose that is unlawful, unauthorized, or contradictory to these Terms of Use. Any breach, contravention, or violation of this warranty results in the immediate, automatic, and unilateral revocation of your user license and absolute termination of your access privileges.
Staynomix retains the sole, unrestricted operational discretion to block, suspend, or permanently terminate a User's access to the Staynomix Platform and its digital components at any time, with or without prior notice, and without any systemic liability.
B. User Data Integrity and Warranties
The User explicitly agrees, acknowledges, and undertakes that any registration profiles, personal data, transaction entries, or informational materials uploaded or transmitted onto the Staynomix Platform by the User:
- (a) Shall not be false, inaccurate, misleading, deceptive, or incomplete.
- (b) Shall not be fraudulent, illegitimate, or involve the unauthorized use of counterfeit, compromised, or stolen credit cards, debit cards, or financial credentials.
- (c) Shall not infringe upon, violate, or misappropriate any third party's intellectual property rights, copyright parameters, trademarks, trade secrets, moral rights, patents, or distinct rights of publicity or privacy.
- (d) Shall not contain defamatory, libelous, abusive, unlawfully threatening, or unlawfully harassing commentary, reviews, or communications targeting Staynomix, its personnel, its Accommodation Partners, or other users.
- (e) Shall not introduce, transmit, or upload any technological viruses, Trojan horses, worms, time bombs, cancelbots, easter eggs, logic bombs, or other malicious computer programming routines, executable files, or corrupted code blocks designed to damage, detrimentally interfere with, surreptitiously intercept, disrupt, or expropriate any system hardware, database infrastructure, transmission log, or personal information of any individual or entity whatsoever.
- (f) Shall not create operational liability for Staynomix or cause Staynomix to lose, in whole or in part, the technical services of its Internet Service Providers (ISPs), cloud hosting infrastructure entities, payment gateway processors, or other downstream suppliers.
If a User contravenes these parameters, or if Staynomix possesses reasonable grounds to suspect a breach, Staynomix holds the absolute right to indefinitely deny, freeze, or terminate the Account and refuse to honor any outstanding reservation requests.
C. Strictly Prohibited Platform Exploitations
Users are strictly prohibited from engaging in, attempting to engage in, or facilitating the following activities across the Staynomix Platform:
- Systematic Scraping and Data Harvesting: Systematically retrieving, scraping, crawling, indexing, or harvesting data, room descriptions, pricing models, formulas, or other core content from the platform to create, compile, or maintain, directly or indirectly, a collection, compilation, database, or directory without the explicit, prior written authorization of Staynomix.
- Unauthorized Commercial Exploitation: Utilizing the Staynomix Platform, its brand representations, or its structural content as part of any revenue-generating endeavor, private commercial enterprise, or competing software infrastructure framework.
- Security Interventions and Tampering: Circumventing, disabling, bypassing, decoding, or otherwise interfering with the security-related features of the platform. This includes, but is not limited to, software mechanisms designed to prevent or restrict the copying of content, digital rights management systems, or protocols enforcing geographical and network usage limitations.
- Account Harvesting and Solicitation: Collecting, capturing, or logging usernames, profiles, or email addresses of other platform participants by electronic, automated, or secondary means for the purpose of transmitting unsolicited communications, spam, phishing links, or creating fake user profiles under false pretenses.
- Credential Deception and Social Engineering: Tricking, defrauding, manipulating, or misleading Staynomix, its support agents, or fellow platform users, particularly in any attempt to learn, extract, or compromise sensitive account details, access tokens, API variables, or user passwords.
- Support Service Abuse: Making improper, continuous, or malicious use of our customer support channels, or knowingly submitting false, exaggerated, or fraudulent reports of check-in service failures, property abuse, or property misconduct to secure unauthorized financial credits or refunds.
- Automated Interactivity and Bot Deployment: Engaging in any automated use of the software system, including the deployment of custom scripts, macros, data mining tools, spiders, robots, scrapers, offline readers, or similar data gathering and extraction tools to monitor or transmit commands to the platform infrastructure, except as a result of standard public search engine indexing protocols.
- Infrastructure Disruption: Interfering with, disrupting, overwhelming, or placing an undue computational burden on the Staynomix Platform, its distributed networks, server centers, routing switches, or cloud database clusters.
- Impersonation and Identity Fraud: Attempting to impersonate another registered user, individual, business entity, or platform representative, or utilizing the specific username, profile state, or payment vouchers of another customer without explicit authorization.
- Profile Commercialization: Selling, trading, leasing, renting, or otherwise transferring your Staynomix user profile, security account status, or loyalty rewards to any third party.
- Software Engineering Interferences: Deciphering, decompiling, disassembling, or reverse engineering any of the software code blocks, layout engines, flash elements, PHP, HTML, JavaScript, or cascading style structures comprising or making up any part of the Staynomix Platform.
- Malicious Content Flooding: Uploading or transmitting excessive capital formatting, repeated text loops, spam text injections, or unverified script parameters that impair or interfere with any party’s uninterrupted usage and operational enjoyment of the platform.
- Brand Disparagement: Engaging in actions that tarnish, disparage, defame, or otherwise harm, in the rational opinion of Staynomix, the brand identity, trademark valuation, operational workflows, or corporate market standing of Staynomix Technologies.
- Regulatory Non-Compliance: Actively deploying or manipulating the Staynomix micro-stay platform engine in a manner inconsistent with, or in explicit violation of, any applicable local, regional, national, or international laws, regulatory guidelines, or public accommodation statutes.
10. Electronic Communications & Safeguards
A. Consent to Electronic Records and Communications
- Consent Framework: By registering an account, accessing the platform, or utilizing the Services, the User explicitly understands and agrees that they are communicating with Staynomix through electronic records. The User hereby grants express consent to receive periodic transactional, regulatory, and promotional communications from Staynomix.
- Delivery Channels: These communications may be transmitted via electronic records, automated SMS messages, emails, application push notifications, in-app alerts, and digital instant messaging services (including but not limited to WhatsApp) as and when required by the platform.
B. Transmissions, Data Security, and Liability Disclaimers
- Encryption Framework: Staynomix implements industry-standard technical encryption modules, access controls, and security firewalls designed to safeguard the confidentiality and integrity of your personally identifiable information stored within our database environments.
- Internet Transmission Disclaimer: The User acknowledges and agrees that data transmissions made by means of the internet cannot be guaranteed to be absolutely secure. Staynomix shall not be held responsible or legally liable for unauthorized third-party access to, interception of, or alteration of your digital transmissions, reservation data, or any informational materials sent or received, or not sent or received.
- Third-Party Breach Disclaimer: By using the Staynomix Platform, you explicitly agree that Staynomix, its corporate parent, and its technology vendors shall bear no liability for the unexpected exposure, leakage, or disclosure of your data due to systemic errors in internet transmission, third-party carrier failures, or the unauthorized, illegal acts of third-party hackers, cybercriminals, or bad actors operating outside our direct control.
C. Phishing Protection and User Vigilance
- Credential Privacy: Staynomix explicitly states that neither its platform administrators, customer support executives, nor its Accommodation Partners will ever solicit your Account password, access tokens, or sensitive financial PINs via text message, electronic mail, or telephone calls.
- Anti-Fraud Vigilance: The User assumes exclusive responsibility for maintaining vigilance against malicious deceptive practices, spoofing events, and "phishing attacks." You must independently verify that any digital communication, billing ledger, or support prompt originates strictly from verified @staynomix.com domains. Staynomix explicitly disclaims all operational or financial liability for losses incurred by the User due to their interaction with fraudulent third-party lookalike links or unverified telephone operators.
D. Cookie Configuration Obligations
- Acceptance Protocols: Staynomix deploys cookies, tracking pixels, and software development kits (SDKs) to optimize interface layouts, track booking preferences, and secure login states. You may choose to accept or decline cookies when accessing the Staynomix Platform.
- Browser Responsibilities: It remains the sole responsibility of the User to configure their personal internet browser or mobile device security settings to alert them to the deployment of cookies or to systematically reject them. If the User disables cookies, they explicitly acknowledge that certain automated segments, payment checkouts, or dynamic functionalities of the Staynomix Platform may fail to execute properly.
11. Third-Party Marketplace Links
A. Purpose and Nature of External Links
- Convenience Provision: The Staynomix Platform may contain outbound links to websites, user interfaces, or digital portals maintained by independent third parties.
- Transactional Routing: These connections are provided solely as an operational convenience—such as routing you to certified banking gateways, unified payment interfaces (UPI), or digital wallet networks to process Advance Payments or final balances.
B. Absolute Disclaimer of Endorsement and Liability
- No Corporate Endorsement: Hyperlinks to third-party platforms do not constitute an endorsement, verification, approval, or warranty of the linked site, its operators, or its commercial offerings by Staynomix.
- Content Disclaimers: Staynomix does not audit or regularly review the information accuracy, software stability, or security of external platforms. Staynomix explicitly disclaims liability for any transaction failures, ledger mismatches, system delays, or service deficiencies encountered on third-party networks.
C. Independent Privacy and Security Frameworks
- Privacy Separations: Staynomix exercises zero operational control over the data handling policies, cookie deployments, or privacy frameworks of external platforms.
- User Risk Assumption: Once you exit the Staynomix Platform via an outbound link, you are governed exclusively by the terms and privacy mandates of that external operator. Any interaction with third-party portals is executed entirely at your own discretion and risk.
12. Intellectual Property Rights
A. Ownership of Staynomix IP
- Exclusive Property: The Staynomix Platform and all its contents—including imagery, text, graphics, designs, logos, interfaces, audio/video clips, and proprietary backend logic—are owned by or licensed to Staynomix Technologies Private Limited (“Staynomix IP”).
- Usage Restrictions: You may not copy, modify, publish, reproduce, distribute, frame, mirror, download, or commercially exploit any Staynomix IP without explicit, prior written authorization from our corporate board.
B. User-Contributed Content
- License Grant: Any reviews, ratings, comments, or images you contribute to the Staynomix Platform automatically grant Staynomix an irrevocable, perpetual, royalty-free, and worldwide license to use, reproduce, publish, and display such content for marketing or other promotional purposes.

These Hotel Partner Terms and Conditions (“Online T&C”), together with the Services Agreement and any attachments, schedules, annexures, addendums and commercial terms (collectively, the “Contract Commercials”), shall apply to you (“Hotel Partner”, “You”) and your employees’ and agents’ use of services offered by Staynomix Technologies (“Staynomix”, “we”, “us”).
The Online T&C and the Contract Commercials together constitute a legally binding agreement (the “Agreement”) between Staynomix and You (collectively, the “Parties”).
This Agreement creates legally binding obligations. You are advised to review it carefully before using any Services. If You are entering into this Agreement on behalf of a company or other entity, You represent and warrant that You are authorised to bind such entity to this Agreement. Staynomix reserves the right to amend these Online T&C from time to time.
BY ACCESSING THE STAYNOMIX PLATFORM, LISTING YOUR PROPERTY, OR ACCEPTING BOOKINGS THROUGH THE PLATFORM, YOU IRREVOCABLY AGREE TO BE BOUND BY THIS AGREEMENT. These Terms supersede all prior agreements and may be amended by Staynomix from time to time.
1. DEFINITIONS & INTERPRETATION
1.1 Interpretation
Unless the context otherwise requires:
- Words importing the singular shall include the plural and vice versa.
- The words “include”, “includes” and “including” shall mean without limitation.
- References to a “Person” shall include individuals, partnerships, firms, companies or other legal entities.
- Headings are for convenience and shall not affect interpretation.
- In the event of any inconsistency between these Online T&C and the Contract Commercials, the Contract Commercials shall prevail.
1.2 Definitions
For the purpose of this Agreement:
- “Affiliate” means any entity that directly or indirectly controls, is controlled by, or is under common control with a Party.
- “Agreement” means these Online T&C together with the Contract Commercials, schedules, annexures and addendums.
- “Applicable Laws” means all laws, regulations, rules, guidelines and statutory requirements applicable in India.
- “Platform” means the Staynomix website, mobile application, APIs and related systems.
- “Services” means services provided by Staynomix including listing, booking facilitation, demand generation and related support.
- “Guest” means any customer who books or transacts through the Platform.
- “Micro-Stay” means a time-based or hourly booking, supporting flexible room intervals subject to the minimum booking duration specified in the Contract Commercials.
- “Micro-stay Price” means the price computed dynamically by StayNomix based on the inputs given by the Hotel Partner.
- “Commission Fee” means the platform fee plus the percentage-based commission fee payable to Staynomix as specified in the Contract Commercials (calculated on the gross room price subtotal before coupon discounts or promotional codes are applied).
- “Reconciliation” means periodic settlement of payments between the Parties.
- “Effective Date” means the date of acceptance or execution of this Agreement.
- “Force Majeure Event” means any event beyond reasonable control, including natural disasters, government actions, network/gateway timeouts, or pandemics.
- “Walk-in Booking” means bookings made directly at the Hotel outside the Platform.
2. NATURE OF RELATIONSHIP
- 2.1 Staynomix acts solely as a technology platform and marketplace intermediary facilitating bookings between Guests and the Hotel Partner.
- 2.2 The Hotel Partner shall at all times:
- retain full ownership, control, and management of the Hotel and its operations; and
- be solely responsible for all operational, service, legal, and regulatory obligations relating to the Hotel.
- 2.3 Nothing in this Agreement shall be deemed to constitute or create any partnership, joint venture, agency, employment or fiduciary relationship between Staynomix and the Hotel Partner.
- 2.4 The relationship between the Parties is strictly on a principal-to-principal basis, and neither Party shall have authority to bind or represent the other in any manner whatsoever.
3. STAYNOMIX OBLIGATIONS
- 3.1 Staynomix shall provide the Services with reasonable care and skill in accordance with this Agreement.
- 3.2 Staynomix shall:
- enable listing, discovery, and booking of rooms on the Platform;
- facilitate customer acquisition and provide reasonable customer support;
- provide payment processing and reconciliation support;
- permit the Hotel Partner to use Staynomix technology and platform tools solely for the purpose of availing the Services, in accordance with this Agreement.
- 3.3 Staynomix shall use reasonable endeavours to notify the Hotel Partner of any material issue affecting the availability or performance of the Services and shall take reasonable steps to minimise disruption.
- 3.4 Notwithstanding anything to the contrary, Staynomix does not guarantee occupancy levels, booking volumes, or revenue generation.
4. HOTEL PARTNER OBLIGATIONS

4.1 General Obligations: The Hotel Partner represents, warrants, and undertakes that:
- all information provided to Staynomix is true, accurate, and complete;
- it has valid ownership, lease, or operational rights over the Hotel;
- it shall comply with all Applicable Laws, including licenses, safety, and regulatory requirements at all times.

4.2 Operational Standards: The Hotel Partner shall:
- maintain clean, safe, and fully operational rooms and facilities;
- ensure that all listing details, pricing, and amenities are accurate and updated at all times;
- provide services with reasonable skill, care, and professionalism;
- ensure availability of staff for smooth guest check-in and service.

4.3 Booking and Inventory Management: The Hotel Partner shall:
- honour all confirmed bookings without refusal or delay;
- maintain accurate and real-time inventory on the Platform;
- ensure no artificial blocking or manipulation of room availability;
- arrange equivalent alternative accommodation at its cost in case of booking failure.

4.4 Compliance, Audit and Records: The Hotel Partner shall:
- maintain all required licenses, permits, insurance, and certifications;
- maintain proper records of bookings and transactions;
- grant Staynomix access to the Hotel, records, and systems for audit or inspection;
- promptly provide any information reasonably requested by Staynomix.

4.5 Payments and Commercial Obligations: The Hotel Partner shall:
- pay all applicable Commission Fees and charges in accordance with this Agreement;
- not take any action to avoid or reduce payment of such fees;
- bear all operational costs including staff, utilities, maintenance, and taxes.

4.6 Anti-Circumvention and Non-Diversion: The Hotel Partner shall not, directly or indirectly, during the Term or thereafter:
- solicit, induce, or encourage Guests introduced via Staynomix to transact outside the Platform;
- accept or process any booking, extension, or payment outside the Platform originating from Staynomix;
- share contact details with Guests for the purpose of bypassing the Platform;
- encourage cancellation or modification of bookings in order to transact directly;
- engage in any act or practice intended to avoid payment of Commission Fees.

4.7 Presumption of Breach: The following shall constitute prima facie evidence of circumvention, unless satisfactorily explained:
- low-value or short-duration bookings followed by higher-value off-platform transactions;
- repeated cancellations followed by direct bookings;
- mismatch between booked duration and actual stay;
- off-platform payments after initiation on the Platform;
- any conduct resulting in revenue loss to Staynomix.

4.8 Liability and Enforcement: In the event of breach of this Clause:
- Staynomix shall have the right to:
- impose liquidated damages as specified in the Contract Commercials or Penalty Matrix as a DEBIT directly on the partner ledger;
- recover unpaid Commission Fees and associated losses;
- withhold or set-off any payable amounts from current or future settlements;
- suspend or permanently delist the Hotel Partner for repeated violations;
- terminate this Agreement with notice.
- The Hotel Partner agrees that such damages represent a genuine pre-estimate of loss and shall not be construed as a penalty.
- Staynomix shall have the right to:

4.9 Conduct and Non-Discrimination: The Hotel Partner shall:
- treat all Guests fairly and professionally;
- not discriminate on the basis of gender, religion, caste, race, or other protected grounds under Applicable Laws.

4.10 Business Continuity: The Hotel Partner shall:
- not cease operations during the Term without prior notice;
- ensure reasonable availability of rooms for booking, except in cases of Force Majeure or lawful restrictions.

4.11 Platform Extension Integrity and Overstay Fees:
- a. Mandatory App Extensions: The Hotel Partner acknowledges that Staynomix's commercial model relies on total time occupied by Guests introduced via the Platform. If a Guest requests an extension of their stay, room upgrade, or late check-out, the Hotel Partner must instruct the Guest to process such variations exclusively through the Platform.
- b. Prohibition of Direct Cash/UPI Collections: The Hotel Partner is strictly prohibited from directly accepting cash, local card payments, or independent digital wallet transfers from a Platform-introduced Guest for additional hours, unless the Platform's system is down and Staynomix support has issued written clearance.
- c. Overstay Penalties: If Staynomix discovers (via PMS audits, checkout time mismatch, or guest feedback) that a Guest remained on the premises past their booked Micro-Stay window without a logged Platform extension, the Commission Fee will apply to the entire duration of the actual stay, calculated at the Platform's peak hourly rate, and Staynomix reserves the right to levy the Unreported Extension Fine specified in the Contract Commercials or Penalty Matrix as a debit against the Hotel Partner's reconciliation ledger.
- 4.12 Rate Parity: The Hotel Partner warrants and covenants rate parity for all listed durations and room categories. The prices, promotions, and conditions listed on Staynomix shall be equal to or better than those offered by the Hotel Partner directly (via their own website, mobile app, messaging accounts, front-desk walk-in rate cards, or other direct channels).

4.13 Guest Chargebacks and Fraudulent Payments:
- a. Staynomix shall not be held liable for payment obligations of Guests, nor for credit card fraud or unauthorized transactions initiated by Guests.
- b. If a Guest initiates a chargeback or payment dispute for a booking, Staynomix reserves the right to withhold, suspend, or deduct the disputed amount (including associated bank penalty fees) from the Hotel Partner’s future settlements until the dispute is resolved.
- c. The onus to provide evidence of successful check-in and service delivery to defend against a chargeback lies exclusively with the Hotel Partner.
- 4.14 Prohibition on Surcharges: Other than the exact room rates, taxes, and specified extras set out in the reservation confirmation generated by Staynomix, the Hotel Partner shall not charge the Guest any additional transaction, administration, or hidden fees (e.g., credit card usage fees, cooling fees, or unadvertised resort fees) at the time of check-in or check-out.

4.15 Zero Tolerance on Check-In Denials and Extortion:
- a. The Hotel Partner shall NOT, under ANY circumstances, deny check-in to a Guest holding a confirmed Staynomix booking on the grounds of low tariffs, delayed platform payouts, or alleged termination of tie-up.
- b. The Hotel Partner shall NOT demand any additional cash, UPI, or direct payments from the Guest to honor a confirmed booking.
- c. Auditable Guest Proof: If Staynomix receives credible proof from a Guest (e.g., audio, video, messaging, or geolocated timestamps) indicating front-desk extortion or check-in denial, Staynomix shall refund the Guest the booking value, debiting the entire amount plus the penalty specified in the Contract Commercials or Penalty Matrix directly from the Hotel Partner's ledger.
- d. Front-Desk Solicitation: The Hotel Partner is strictly prohibited from instructing or encouraging Guests at the front desk to cancel their Staynomix reservation in order to re-book directly with the Hotel Partner.
- e. Couple & Local ID Parity: If the Hotel Partner's profile settings on the Platform permit "couple-friendly" or "local ID allowed" bookings, the Hotel Partner shall NOT deny check-in to unmarried couples or local residents under any circumstances. Any such denial constitutes a check-in denial violation subject to the fine specified in the Contract Commercials or Penalty Matrix debited directly from the ledger.
- 4.16 Room Allocation and Anti-Bait-and-Switch: The Hotel Partner must allocate the exact room category, features, and amenities booked by the Guest. In the event of inventory unavailability for the specific booked category, the Hotel Partner MUST provide an upgraded room category at no additional cost to the Guest. Downgrading a Guest to an inferior room is strictly prohibited. Any verified downgrade will result in a refund of the price difference to the Guest at the Hotel Partner's expense, plus the operational penalty specified in the Contract Commercials or Penalty Matrix.
- 4.17 Micro-Stay Turnaround and Housekeeping Mandate: Due to the high-frequency nature of Micro-Stays, the Hotel Partner must maintain the maximum housekeeping turnaround time specified in the Contract Commercials between back-to-back bookings. Rooms must be completely sanitized, with fresh linen and cleaned bathrooms prior to the next Guest's arrival. Repeated complaints of uncleaned rooms for subsequent Micro-Stay guests will result in the fine specified in the Contract Commercials or Penalty Matrix per incident debited from the ledger and a temporary suspension of the specific room's listing.

4.18 Mandatory Technology & PMS Compliance:
- a. The Hotel Partner agrees to utilize Staynomix's approved Property Management System (PMS) integration or digital check-in tools consistently and accurately.
- b. Disconnecting the PMS, intentionally delaying inventory syncs, manually altering time-stamps, or bypassing the digital check-in process to hide walk-in overbookings constitutes a breach. Such actions will result in account suspension pending review and a penalty debit as specified in the Contract Commercials or Penalty Matrix.
5. INTELLECTUAL PROPERTY

5.1 Licence to Intellectual Property:
- 5.1.1 Each Party retains all rights, title, and interest in its respective Intellectual Property. Subject to the terms of this Agreement, each Party grants to the other a royalty-free, non-exclusive, revocable licence to use its Intellectual Property solely to the extent necessary for Staynomix providing the Services and the Hotel Partner availing and benefitting from such Services.
- 5.1.2 Staynomix may use the Hotel Partner’s name, trademarks, images, and property details for listing/display on the Platform, marketing, promotional, and customer acquisition purposes.
- 5.1.3 The Hotel Partner authorises Staynomix to capture, create, and use photographs, videos, and digital content of the Hotel (“Content”). All such Content created by or for Staynomix shall be the exclusive property of Staynomix.
- 5.1.4 The Hotel Partner shall ensure that the Hotel is prepared for any scheduled photoshoot. In the event of rescheduling or additional shoots required due to the Hotel Partner’s failure to meet required standards, Staynomix may recover the associated costs from the Hotel Partner.
- 5.1.5 Staynomix grants the Hotel Partner a limited, non-exclusive, non-transferable licence to use such Content solely during the Term for the purpose of benefiting from the Services. The Hotel Partner shall have no right to use such Content after termination or expiry of this Agreement.
- 5.1.6 The Hotel Partner shall not use Staynomix trademarks or branding without prior written consent, or represent itself as being owned, operated, or controlled by Staynomix.
6. CONFIDENTIALITY
- 6.1 Confidential Information: Each Party agrees to keep strictly confidential all information received or obtained in connection with this Agreement (“Confidential Information”), including but not limited to business, financial, technical, operational, and customer-related information, and shall not disclose such information to any third party without prior written consent of the other Party.
- 6.2 Permitted Disclosures: A Party may disclose Confidential Information only to comply with Applicable Laws, to its employees/affiliates/advisors on a need-to-know basis, where the info is in the public domain, or with the prior written consent of the other Party.
- 6.3 Breach and Liability: Any breach of this Clause by the Hotel Partner shall constitute a material breach, and the Hotel Partner shall be liable for all losses, damages, costs, and expenses suffered by Staynomix, including reputational harm.
- 6.4 Survival: The obligations under this Clause shall survive termination or expiry of this Agreement for a period of three (3) years.
7. DATA PROTECTION
- 7.1 Scope: This Clause sets out the framework for the collection, use, processing, and sharing of personal data between the Parties.
- 7.2 Compliance with Laws: The Hotel Partner shall comply with all applicable data protection and privacy laws in India. Any material breach shall constitute a material breach of this Agreement.
- 7.3 Obligations of Hotel Partner: The Hotel Partner shall collect and process personal data only for fulfilling bookings; ensure necessary notices/consents are obtained from Guests; implement security measures to protect data; promptly notify Staynomix of any data breaches; and not use Guest data for marketing or solicitation outside the Platform without prior written consent.
- 7.4 Data Sharing and Cooperation: The Hotel Partner shall cooperate with Staynomix in responding to any data-related requests, complaints, or regulatory requirements.
- 7.5 Survival: The obligations under this Clause shall survive termination or expiry of this Agreement for a period of three (3) years.
8. FEES, PAYMENTS AND RECONCILIATION

8.1 Fees and Commissions:
- 8.1.1 Commission Fee Structure: In consideration of the technology and listing services provided, Staynomix charges a Commission Fee on each brokered transaction. The Commission Fee consists of the platform fee plus the percentage-based commission fee as specified in the Contract Commercials (calculated on the gross room price subtotal before coupon discounts or promotional codes are applied).
- 8.1.2 Upfront Collection & Coupon Discount Sharing: The Parties explicitly acknowledge that all platform transactions are structured under an upfront collection model managed entirely by Staynomix. At the time of reservation, Staynomix captures the Commission Fee advance directly from the Guest.
- a. Part-Pay (Pay at Hotel): Staynomix collects the Commission Fee advance upfront. The Guest pays the remaining balance directly to the Hotel Partner at the front desk upon check-in. For bookings with coupon discounts, the discount is deducted first from the advance payment collected by Staynomix. If the discount exceeds the base advance, the remaining discount amount will reduce the balance collected by the Hotel Partner at check-in. The Hotel Partner agrees to accept this reduced balance as full settlement of the guest stay, and Staynomix shall have no obligation to reimburse the Hotel Partner for platform-side discounts.
- b. 100% Prepaid: Staynomix collects the entire transaction amount upfront. Staynomix retains the Commission Fee advance share and remits the remaining room revenue balance (net of platform-side discounts) to the Hotel Partner during the periodic reconciliation cycle.
- 8.1.3 Cancellation and No-Show Retention Payout: Because the Staynomix Commission Fee is collected and earned upfront at the time of reservation, Staynomix shall permanently retain the platform fee share in the event of a Guest cancellation or no-show. However, where cancellation penalties or no-show forfeits are successfully recovered from a Guest in accordance with the Staynomix Terms of Use, Staynomix shall credit the percentage of the total commission value (including commission tax) specified in the Contract Commercials to the Hotel Partner's ledger as payout compensation, while Staynomix retains the platform fee and the remainder of the cancellation penalty to offset administrative costs.

8.2 Reconciliation:
- 8.2.1 Staynomix shall carry out periodic reconciliation of all bookings and transactions.
- 8.2.2 Reconciliation statements shall be shared periodically (typically monthly).
- 8.2.3 The Hotel Partner shall raise any dispute regarding such statements within the timeframe specified in the Contract Commercials of receipt, failing which the reconciliation shall be deemed accepted and binding.

8.3 Payments and Ledger Set-Offs:
- 8.3.1 Staynomix shall be absolutely entitled to:
- deduct applicable Commission Fees and charges prior to settlement;
- set-off, adjust, or automatically deduct any dues, penalties, or fines incurred under this Agreement directly from current or future amounts payable to the Hotel Partner;
- suspend search page visibility automatically if the Hotel Partner's net ledger balance falls below their designated credit limit;
- recover unpaid amounts from affiliated entities of the Hotel Partner.
- 8.3.1 Staynomix shall be absolutely entitled to:
- 8.4 Interest on Delayed Payments: Any delayed payment by either Party under this Agreement shall attract interest at the rate specified in the Contract Commercials per annum, calculated from the due date until the date of actual payment.

8.5 Audit and Verification:
- 8.5.1 Staynomix shall have the right, upon reasonable notice, to audit the Hotel Partner’s physical guest registers, digital PMS records, tax filings, and transaction logs. Disconnecting the PMS sync or delaying synchronization to hide overbookings or off-platform walk-in transactions is a material breach and will trigger immediate listing suspension and the penalty fine specified in the Contract Commercials or Penalty Matrix debited from the ledger.
- 8.5.2 In the event of any discrepancy or under-reporting, the Hotel Partner shall immediately pay the deficient amount along with applicable interest.
- 8.6 Default and Termination: If any payment remains outstanding beyond the default period specified in the Contract Commercials, Staynomix may issue a written notice providing the cure period specified in the Contract Commercials. Upon failure to cure, Staynomix may suspend services or terminate the Agreement immediately.
9. REPRESENTATIONS AND WARRANTIES
- 9.1 Representations of Hotel Partner: The Hotel Partner represents, warrants, and undertakes that:
- all information provided is true, complete, and accurate;
- it has valid legal ownership/operational rights over the Hotel, and all necessary permits/licenses;
- the Hotel complies with all safety and regulatory requirements;
- it shall not assign, transfer, or cease operations of the Hotel during the Term without prior written consent.
- 9.2 Mutual Representations: Each Party represents and warrants that it has the requisite power and authority to enter into this Agreement.
10. INDEMNITY
- 10.1 Indemnity Obligation: The Hotel Partner (“Indemnifying Party”) shall indemnify, defend, and hold harmless Staynomix and its affiliates, directors, officers, employees, and agents (“Indemnified Party”) from and against any claims, losses, liabilities, penalties, and expenses arising out of any breach of this Agreement, negligence, or guest injuries/damage at the Hotel.
- 10.2 Operational Liability: All costs, liabilities, and expenses arising from the operation and management of the Hotel shall be the sole responsibility of the Hotel Partner.
- 10.3 Limitation of Liability: Notwithstanding anything to the contrary in this Agreement, the total aggregate liability of Staynomix to the Hotel Partner for any and all claims, breaches, or disputes arising out of or in connection with this Agreement (including system downtime, payment gateway failures, or reservation disputes) shall be strictly capped at the total amount of Commission Fees actually received and retained by Staynomix from the Hotel Partner during the period specified in the Contract Commercials immediately preceding the event giving rise to liability.
11. DISPUTE RESOLUTION & ARBITRATION
- 11.1 Amicable Settlement: The Parties shall attempt to resolve any dispute amicably.
- 11.2 Arbitration: If the dispute cannot be resolved within the negotiation timeframe specified in the Contract Commercials, it shall be finally settled by arbitration in Bangalore, India, in accordance with the Arbitration and Conciliation Act, 1996, by a sole arbitrator.
- 11.3 Seat, Venue, and Jurisdiction: The seat and venue of arbitration shall be Bangalore, India. Subject to arbitration, the courts at Bangalore, India shall have exclusive jurisdiction.
12. TERMINATION AND EFFECTS OF TERMINATION
- 12.1 Term & Auto-Renewal: This Agreement shall commence on the Effective Date and continue for the Term, with automatic renewals unless notice of non-renewal is given.
- 12.2 Termination for Convenience: Subject to lock-in periods, either Party may terminate this Agreement by providing the notice period specified in the Contract Commercials, provided all outstanding dues are settled.
- 12.3 Termination for Cause: Staynomix may terminate this Agreement immediately for material breach, fraud, repeated guest complaints, or default.
- 12.4 Effects of Termination: The Hotel Partner shall cease use of Staynomix branding, honour all confirmed bookings, and settle outstanding dues.
- 12.5 Partner Cancellation and Relocation (Walks):
- The Hotel Partner shall immediately provide the Guest with alternate comparable accommodation.
- If the Hotel Partner fails to relocate the Guest within the grace period specified in the Contract Commercials, Staynomix may arrange alternate lodging, deduct all costs, and apply the Host Cancellation Fine specified in the Contract Commercials or Penalty Matrix directly against the Hotel Partner’s ledger balance.
13. NOTICES & FORCE MAJEURE
- 13.1 Notices: Notices must be in writing and may be delivered by hand, registered post, or email.
- 13.2 Force Majeure: Neither Party shall be liable for failure or delay caused by events beyond its reasonable control. If a Force Majeure Event continues for the extended duration specified in the Contract Commercials, Staynomix may suspend or terminate this Agreement.
14. MISCELLANEOUS & BANK ACCOUNT VALIDATION
- 14.1 Severability and Waiver: If any provision is held invalid, the remainder continues. A waiver is effective only if in writing.
- 14.2 Entire Agreement: This Agreement constitutes the entire agreement and supersedes all prior representations.
- 14.3 Bank Account Validation: The Hotel Partner must submit valid bank verification details (cancelled cheque/statement) within the timeframe specified in the Contract Commercials of execution to enable payouts.
ANNEXURE 1 – MINIMUM HOTEL QUALITY & SERVICE STANDARDS
- Property Condition: Structural safety, cleanliness, pest-free rooms, fresh linen, functional plumbing, and adequate electrical setups.
- Micro-Stay Turnaround: Must execute the housekeeping turnaround time specified in the Contract Commercials between bookings to ensure the room is guest-ready.

- Hotels: Your name, contact number, and booking details are shared with the hotel you book.

4. Data Retention
We retain your booking and account data for a minimum of 7 years as required by Indian financial regulations (GST Act). You may request deletion of your account data (excluding financial records) by contacting us.
5. Cookies
We use session cookies essential for the functioning of the platform (login, cart, CSRF protection). We do not use third-party tracking cookies. You can disable cookies in your browser settings, but this may affect platform functionality.
6. Your Rights
Under the DPDPA 2023, you have the right to:

1. Cancelling Your Booking
You may cancel your booking at any time, provided it is at least **12 hours before** your scheduled check-in time. Cancellations can be requested directly via the customer dashboard on the StayNomix Platform or by contacting our 24/7 centralized support desk.
If you cancel outside this 12-hour window (i.e. with 12 or more hours notice), a cancellation charge will apply to cover platform operations and gateway costs, which is calculated as follows:
Standard Cancellation Charges Formula
Base Charge: The Platform Fee + 5% of the Micro-stay price + any applicable Modification fees.
Tax: Goods and Services Tax (GST) at the standard rate of 18% is applied to the total of the above base charges.
2. Last-Minute Cancellations & No-Shows
For cancellation requests made **within 12 hours** of your scheduled check-in time, or if you do not arrive at the property for your stay (a "No-Show"), the cancellation charge will be equal to the amount already paid online.
Forfeiture Rules by Booking Model
- If you paid in full (Pay Now): Your cancellation charge is **100% of the total booking amount**. No refunds or credits will be issued under any circumstances.
- If you chose "Pay Later": Your cancellation charge is **100% of the advance payment** you have already made online. The remaining balance due at the hotel desk will be cancelled, but the online booking advance will be entirely forfeited.
3. Payment Methods & Refund Criteria
Your refund amount and options are determined directly by the payment terms chosen during reservation:
A. Prepaid / Pay in Full Bookings
If you settled the full transaction amount online at the time of booking:
- Eligible Cancellations (12+ Hours Notice): The system calculates the cancellation penalty based on the standard charges formula. The remaining balance (Total Paid minus Cancellation Penalty, including GST) is returned to your original payment method.
- Late Cancellations (<12 Hours): Fully locked. The payment is processed as a late penalty and is distributed to the platform and the hotel partner to compensate for the locked room block.
B. Pay Later / Pay at Hotel Bookings
If you secured the booking using the partial advance payment model:
- Advance Fee Non-Refundability: The online advance fee represents the minimum operational platform fee. This advance fee is **strictly non-refundable** under all standard cancellations.
- Desk Balances: Under a valid cancellation (12+ hours notice), you are fully released from paying the remaining balance at the property. Under a late cancellation or no-show, the property balance is cancelled, but your online advance is forfeited.
4. Booking Modifications and Stay Shortening
StayNomix supports flexible changes to active bookings, which impacts refunds as follows:
- Standard Modifications (>12 Hours Prior): You are permitted to modify your check-in date, time, or stay duration once for a standard fee of ₹15.00 (+ GST). If the modification reduces the duration (keeping at least the 3-hour minimum floor):
- For *Pay in Full* bookings, the price difference for the reduced hours (excluding modification fees) is refunded.
- For *Pay Later* bookings, the price difference reduces the balance due at the desk. If the new stay total falls below the online advance fee, the difference is non-refundable.
- Late Extensions and Active Stays (<=12 Hours Prior or Active Stay): Guests cannot modify their check-in times. However, they may extend their checkout time (subject to room availability) for an extension fee of ₹20.00 (+ GST) plus the additional room hours rate. No refunds or partial adjustments are allowed for shortening hours during this locked window or after check-in has occurred.
5. Strict Arrival Grace Periods and No-Shows
Because micro-stays rely on precise room turnovers, late arrivals are governed by strict automated system rules:
A. The 30-Minute Grace Period (Pay Later)
If you choose the "Pay Later" model, the hotel partner holds the room for exactly **30 minutes** past your scheduled check-in time. If you do not arrive and check in at the desk within this 30-minute window:
- The property staff is authorized to mark the reservation as a **No-Show** in their admin console.
- The system instantly cancels the reservation, releases the room inventory back into the marketplace, and forfeits the online advance payment in its entirety. No refund or reschedule is permitted.
B. The Active Room Block Hold (Pay in Full)
If you choose the "Pay in Full" model, your stay is fully secured:
- The hotel partner is legally and contractually obligated to keep the room vacant for the entire duration of your booked stay, up until your scheduled checkout hour.
- You may check in at the front desk at any point during your active booking block. However, **no refunds or tariff reductions** will be issued for the hours missed due to your late arrival.
- If you fail to check in before your scheduled checkout time, the booking is closed as a completed stay, and the full payment is retained by StayNomix as a late cancellation/no-show fee.
6. Check-in Denial Protection and Guarantees
In the rare event that a hotel partner denies check-in for a valid, confirmed StayNomix booking voucher (due to pricing disputes, overbooking, or operational issues):
- StayNomix customer support will immediately intervene to relocate you to an alternative room of equivalent or higher rating and standards.
- If a comparable alternative property cannot be arranged or is rejected, StayNomix will issue a **100% full refund** of all payments collected online (including advance fees and platform fees).
- StayNomix’s financial and operational liability is strictly capped at the total amount paid online by the guest for the specific booking.
7. Partner Desk Charges, Surcharges & Disputes
To protect guests from unauthorized charges, StayNomix operates under strict transparent billing guidelines:
- Zero Local Surcharges Policy: Hotel partners are strictly prohibited from demanding any additional cash, UPI, or card payments at check-in other than the exact "Balance at Hotel" listed on your voucher (plus municipal lodging taxes where applicable by law). Partners are forbidden from charging hidden "cooling fees," "AC charges," or card transaction fees.
- Reporting Violations (Dispute Flow): If a hotel desk attempts to extort extra charges, demands direct cash/UPI bypasses to extend your stay, or denies check-in, you must immediately file a dispute via your StayNomix dashboard. You are required to submit GPS location coordinates, screenshot evidence, or desk receipts.
- Dispute Resolutions: Upon verification, if a partner is found to have charged unauthorized desk fees, StayNomix will refund the disputed amount to the guest and debit a ₹2,000.00 penalty directly against the hotel partner's ledger.
8. Digital Goods, SaaS & Custom Development Policy
All source code handovers, milestone deliveries, and technical setup dispatches are final and completely non-refundable.
We work closely with clients to review milestones in local staging environments prior to absolute delivery. Once code ownership or files have been officially dispatched, downloaded, or deployed to production/staging repositories, the service is fully rendered and cannot be reversed or refunded.
9. Refund Processing and Bank Timelines
Once a refund is approved by the StayNomix billing desk, the following timelines apply:
- Initiation: StayNomix releases the funds instantly. An automated confirmation email and SMS containing the transaction details will be sent.
- Bank Processing (Razorpay): Payment gateways and banking partners (such as Razorpay, Visa, MasterCard, and UPI networks) typically take **5 to 7 business days** (excluding weekends and bank holidays) to clear the funds and credit them back to your original payment source account. StayNomix has no direct control over banking clearance times.
10. Force Majeure & Platform Waivers
In extreme, documented circumstances (such as natural disasters, government travel bans, airline cancellations, or medical emergencies), StayNomix customer care reserves the right to review late cancellations on a case-by-case basis. StayNomix may, at its sole discretion, issue **StayNomix Credit Vouchers** or partial fee waivers, notwithstanding the general non-refundability rules detailed above.
